Unlocking the Power of Annual Reports: Essential Knowledge for Business Success

As companies continue to grow, it’s not surprising that they will tend to register in a multitude of states. When a company begins conducting business activities in a new state, it must register with the state’s Secretary of State. Once the initial registration is complete, annual reports are generally required to be filed thereafter. Entities required to file annual reports can include limited liability companies (LLC), corporations, partnerships, or nonprofit organizations. Annual reports depict a range of information updated on a frequent basis. This information typically includes the entity’s physical and mailing address, officer names, contact information, type of business, etc. Each state varies on how frequently they want businesses to report their information, and the information required can range. Regardless of what information is requested, it’s important to note that keeping up with the reports is vital for compliance. If the report is filed late, dependent on the state, there is a possibility that the business could lose rights to their name, incur additional fees, lose their good standing within the state, or lose their business entirely.

Business Dissolution

Annual reports allow businesses to let the state know they are still active. Not filing on time can cause a business to be administratively dissolved, and the business name may be released for others to claim. States will allow a window of time to pay for any late or reinstatement fees. Failure to pay these accrued fees will result in the dissolution of the business, preventing the company from conducting business within the state unless reinstated.

Additional Fees

Similar to most bills, filing late reports can lead to additional unwanted fees. As mentioned, should a business dissolve due to a late annual report, it could lead to reinstatement application and fees. Once the business is dissolved, a reinstatement must be filed to remain compliant. The fees vary from each state, ranging anywhere from $50 to $500. These are additional costs that can be avoided by paying and filing on time.

Good Standing

Filing late annual reports could also jeopardize the entity’s standing with the state. Obtaining a Certificate of Good Standing from the Secretary of State is crucial when conducting business. A Certificate of Good Standing can help a business register in additional states, open bank accounts, renew business licenses, apply for contracts, etc.
