Can a Foreign Tax Registration Number Be Used on a U.S. Resale Certificate?
A resale certificate is a signed document that indicates that the purchaser intends to resell the goods, allowing the purchaser to buy products without paying sales tax. Resale certificates cannot be used for items that will be used or consumed by the purchaser in the normal course of business.
Sellers are responsible for obtaining and maintaining valid resale certificates from their customers. Resale certificate requirements vary by state so businesses should ensure they are using the appropriate documentation for each transaction.

Can Foreign Businesses Use Their Home Country's Tax Registration Number?
Businesses located outside of the United States often ask whether a sales tax registration number, VAT ID, or similar tax registration issued by their home country can be used to claim resale exemptions in the U.S. Unfortunately, the answer is not always straightforward.
Businesses with a foreign sales tax registration number or VAT ID may have additional options for claiming resale exemptions in certain U.S. states. Some states recognize certain multistate resale certificates that reference a foreign tax registration number, while others require a state-specific exemption certificate, a U.S. sales tax registration, or additional documentation. Because requirements vary by state and can change over time, businesses should review the applicable rules before making tax-exempt purchases.
In limited situations, businesses without a home-country tax registration number may still qualify using alternative documentation, depending on the state’s requirements.
Generally, state requirements may fall into one of the following categories:
- States that accept certain multistate resale certificates with a foreign tax registration number.
- States that require their own state-specific resale certificate.
- States that permit alternative documentation under limited circumstances.
- States that require businesses to obtain a state sales tax registration before claiming a resale exemption.
Whether a foreign tax registration number can be used often depends on factors such as:
- The purchaser’s business activities.
- Whether the business has registration obligations within the state.
- The type of resale certificate being presented.
- State-specific documentation requirements.
Simply having a foreign VAT ID or tax registration number does not guarantee that a resale certificate will be accepted in every jurisdiction.
Common Challenges for Foreign Businesses
Foreign businesses frequently encounter questions such as:
- Does the state accept a foreign tax registration number?
- Is a U.S. sales tax registration required?
- Should a multistate or state-specific resale certificate be used?
- Is additional documentation required to support the exemption?
- Do Marketplace Facilitator rules affect the purchaser's registration requirements?
Because every state administers its resale exemption rules independently, the answers often depend on the specific facts of each business and transaction.
Why Proper Documentation Matters
Improper or incomplete resale documentation can result in unnecessary sales tax charges or increased audit risk for both buyers and sellers. Businesses should maintain accurate exemption documentation and periodically review their certificates to ensure they continue to meet current state requirements.
Businesses should also remember that resale certificate requirements are subject to change as states update their laws, administrative guidance, and exemption procedures.
